Job Description

Familiar with business contracts, the Contract Manager oversees the entire contract lifecycle under the supervision of the Contract Management team leader, supporting project execution. The lifecycle spans from the preparation of a client/partner offer to the project closure. The Contract Manager interacts with all resources within the company. His/her mission is to safeguard the project's profitability and contribute to its success through their contractual expertise and skills.

Hierachical line

• Head of Contract Management reporting to the Director of Digital Law, Data, and IT Contracts (hierarchical).
• Program Direction (functional).

MAIN ACTIVITIES

Contract Initialization - Project Preparation

• Propose contractual solutions and associated documents (confidentiality agreements, joint ventures, amendments, contracts, etc.) in close collaboration with legal counsels.
• Participate in the preparation and negotiation of a tender.
• Assist the project manager in the contractual analysis of tender responses and the specifications.
• Ensure the coherence of the entire contractual package, between the contract and the project, and maintain its economic balance.
• Identify project risks and propose contractual mechanisms to ensure the best possible control.
• Contribute, in collaboration with the legal advisor, to the drafting and negotiation of the final contract and its annexed documents. Ensure the archiving of the contract, its evolutions, and exchanges to trace negotiations and any concessions made by each party.

Contract Execution - Project Launch and Implementation

• Deliver a "contract awareness" to all project stakeholders to simplify and make accessible all binding elements.
• Participate in the management of the project in its contractual aspect (both in the relationship with the provider, partners, and any subcontractors) and in the need for interpretation of contract clauses.
• Ensure the evolution of the contractualization of commitments (amendments, contracts with providers, archiving, and monitoring of the contract lifecycle).
• Manage and monitor contract administration in support of the project (milestones, deliverables, receptions, payments...) and handle contractual deviations (notifications, correspondences, analyses, variations).
• Alert the project manager in case of risks of non-compliance with contractual requirements, profitability deviations (non-contractualized additional costs related to various events: additional requests, subcontractor risks, scheduling risks, external risks impacts, etc.).
• Take charge of contractually impacting events: non-compliance with contractual obligations ; commercial claims ; new regulatory requirements...
• Prepare documentary elements to support a claim, pre-litigation, or litigation.
• Participate in project governance bodies and, if necessary, in internal or external meetings required, either in preparation for negotiations or the establishment of contract amendments.

Contract Closure or Renewal

• Anticipate and implement the closure/renewal/reversibility procedure.
• Contractually monitor the end-of-project activity (guarantees, support, reversibility).
• Participate in the preparation of contractually required documents for project closure.
• Ensure the archiving of the project's contractual documents.
• Participate in post-project review activities.

Candidate Profile

This position facilitates and preserves contractual relationships and requires an operational sensitivity by nature. Risk management and compliance with applicable regulations are at the heart of the position: legal security and return on investment require knowledge related to the field of practice combined with negotiation skills to anticipate or resolve conflicts (QHSE rules, project ethics, contractual failures, budget and scope deviations, purchases, defects, delivery delays, etc.). The contract manager is always on the lookout to anticipate and develop opportunities and participate in better risk management related to project uncertainties.

REQUIRED QUALIFICATIONS

• Master's degree in business law, ideally in IT and Digital, supplemented by a
• Ideally, a university degree and/or contract management training
• A dual curriculum, especially a training cycle in an Anglo-Saxon institution, is a plus

EXPERIENCE

• A minimum of five years of experience is required in one of the following areas:
• Legal contract management
• IT contract lawyer
