Job Description

The Servier Group Legal department (attached to the General Secretariat) has the mission (i) to proactively support the Group in the implementation of its strategy, (ii) to structure and secure the Group's operations and governance, and (iii) to provide agile support and advice tailored to the needs of General Management and the business units.

Within the Servier Group Legal department, the corporate and intercompany contracts department is composed of 10 lawyers and paralegals. It ensures the monitoring of all corporate matters for all entities of the group, all entity restructurings (participating in their design and implementation), intragroup contracts, group financing, and part of the M&A activities.

For the needs of the department, we are recruiting a senior lawyer

Job Description

Monitoring the corporate matters of a portfolio of entities:

- approval of accounts, appointment and removal of executives, restructuring, creation and liquidation, sharecapital operations, etc.
- delegations of authority,
- drafting and reviewing documents, coordinating with lawyers and internal stakeholders

Monitoring financing operations (loans, guarantees, etc.)

Monitoring intragroup contracts (distribution contracts, manufacturing contracts)

M&A operations

Skills required

- Lawyer with 10 / 15 years of experience, in law firm and/or corporate
- Ideally, experience in the pharmaceutical, cosmetic or food industry
- Experience in international M&A (acquisition/divestiture), investment fund operations
- Fluent in French and English
- Autonomous in monitoring operations and with a sense of responsibility
- Ability to prioritize
- Team spirit and good interpersonal skills
- Proactive and negotiation skills
- Flexibility and agility - Ability to make decisions and take risks
- Business partner
